Terms and conditions
This is a courtesy translation. Only the German version is legally binding: Allgemeine Geschäftsbedingungen
§ 1 Scope
(1) These General Terms and Conditions (GTC) apply to all contracts for offerings of ECLIPSE – Akademie für intuitive Psychosomatik (hereinafter “Academy” or “we”). The provider is Dr. med. Zorana Pravdić, Karwinskistraße 61, 81247 München.
(2) This includes in particular:
- the further training programme in intuitive psychosomatics,
- online programmes such as JOYFUL LIFE,
- free and paid webinars and courses,
- digital products such as e-books, PDFs and recordings,
- printed books.
(3) Our contractual partners (“you”) may be consumers (§ 13 of the German Civil Code (BGB)) or traders (§ 14 BGB). Deviating terms apply only if we expressly agree to them in text form. For the further training programme, the provisions of the further training agreement (§ 2(4)) take precedence over these GTC.
§ 2 Conclusion of the contract
(1) The presentation of our offerings on the website does not constitute a binding offer but an invitation to book or order.
(2) Online booking with payment: Before completing your order, you can check and correct your details. The contract is concluded upon successful completion of the payment process with our payment service provider Stripe. You will then receive a confirmation by e-mail.
(3) Enquiries without online payment: Enquiries, for example via “Enquire without obligation”, are non-binding. A contract is only concluded when we confirm your booking in text form (e.g. by e-mail).
(4) Further training programme: An introductory conversation takes place before admission to the further training programme. Participation is then agreed in a separate written further training agreement.
(5) Free offerings: Your registration and our confirmation by e-mail result in a free-of-charge contract for the respective offering. We may change or discontinue free offerings at any time.
(6) The language of the contract is German. We store the text of the contract. You will receive the contract details, these GTC and the cancellation policy with the confirmation by e-mail.
§ 3 Right of withdrawal
Consumers have a statutory right of withdrawal. Details can be found in the cancellation policy.
§ 4 Prices
(1) The prices stated at the time of booking apply. All prices are final prices and include statutory VAT, unless the service is exempt from VAT; VAT-exempt services are marked as such.
(2) Shipping costs are charged for the delivery of printed books and are shown during the ordering process (§ 11).
(3) For offerings priced “on request” (e.g. JOYFUL LIFE, further training programme), we will inform you of the price before the contract is concluded.
§ 5 Payment and instalments
(1) Payment is made in advance via Stripe by credit card, Apple Pay or Google Pay. For contracts concluded following an enquiry, you will receive a payment link or an invoice with bank details.
(2) Where we offer payment in instalments, the first instalment is due upon conclusion of the contract and the further instalments monthly thereafter. The instalments are collected automatically from the chosen payment method via a Stripe subscription. The subscription ends automatically after the last instalment without any need for termination. Payment in instalments does not change the amount of the agreed total price.
(3) If an instalment cannot be collected, we will inform you by e-mail. Until payment is received, we may withhold further services, such as access to sessions, modules or content.
(4) Statutory rights of withdrawal and termination remain unaffected.
§ 6 Delivery and online participation
(1) Content, dates, scope and format are set out in the respective description of the offering or in the further training agreement.
(2) Online events take place via the tool named in the invitation. You are responsible for suitable technical equipment (a device with camera and microphone, a stable internet connection) and for an undisturbed, confidential environment. Access details are personal and must not be passed on.
(3) If you are unable to participate, or can participate only in part, for reasons within your sphere of responsibility (e.g. technical problems on your side), the claim to remuneration remains in force.
(4) We may change dates, procedures or the leadership of individual units for good cause, provided this is reasonable for you and the overall character of the offering is preserved.
§ 7 Cancellation and rebooking by participants
(1) For offerings with a fixed date (e.g. further training programme, courses, paid webinars), you may cancel before the start by declaration in text form. The following applies:
- up to 30 days before the start: free of charge; amounts already paid will be refunded,
- up to 14 days before the start: 50 % of the price,
- thereafter or in the event of non-attendance: the full price.
(2) You remain entitled to prove that we have incurred no loss or a significantly lower loss.
(3) You may at any time nominate a substitute to participate in your place; this does not incur any additional costs. For the further training programme, this requires an introductory conversation with the substitute.
(4) Individual appointments, such as the JOYFUL LIFE sessions, may be rescheduled free of charge up to 48 hours before the start. In the event of later cancellation or non-attendance, the appointment is deemed to have been attended, as it cannot be allocated otherwise.
(5) Deviating provisions in the further training agreement take precedence. The statutory right of withdrawal remains unaffected.
§ 8 Cancellation and changes by the Academy
(1) If the minimum number of participants stated in the announcement is not reached, we may cancel an event up to 14 days before the start.
(2) If an event is cancelled due to illness of the leader, force majeure or for another reason for which we are not responsible, we will inform you without delay.
(3) In these cases, we will refund any amounts already paid in full. Alternatively, you may attend an alternative date offered. Further claims, for example for reimbursement of travel or accommodation costs, exist only in accordance with § 14.
§ 9 Copyright and rights of use
(1) Materials, scripts, worksheets, videos, audio recordings, e-books and other content are protected by copyright. You receive a simple, non-transferable right to use them for your personal use or your own further training.
(2) Passing on, reproduction, publication (including in social networks or closed groups) and commercial use are not permitted without our prior consent in text form. Access to online content must not be shared.
(3) Participants are not permitted to make audio, image or video recordings, screen recordings or screenshots of events – also to protect the other participants. We provide the recordings of the JOYFUL LIFE sessions to you ourselves; they are intended exclusively for your personal use.
(4) You may apply the content learned in the further training programme in your own professional activity. Offering your own training or further training programmes based on our materials requires our prior consent in text form.
§ 10 Self-experience, confidentiality and limits of the offerings
(1) The further training programme and programmes include elements of self-experience. You will treat personal information about other participants that you learn in groups confidentially – also after the offering has ended.
(2) Participation requires sufficient psychological stability and resilience. If you are undergoing psychotherapeutic or psychiatric treatment, please discuss your participation with your treating physician or therapist beforehand. If continued participation would recognisably endanger you or the group, we may exclude you from further participation; in that case, we will refund amounts for services not used on a pro rata basis.
(3) No therapy: The Academy’s offerings are educational, self-experience and personal development offerings. They are not medical treatment or psychotherapy and do not replace a medical or psychotherapeutic diagnosis or treatment. Even though the leader is a physician, participation does not give rise to a treatment contract. No particular result is owed.
(4) The further training programme does not confer a state-recognised professional qualification or a licence to practise medicine or healing (Heilkunde).
(5) In an emergency: In acute crises, please contact the emergency number 112, the medical on-call service 116 117 or TelefonSeelsorge (0800 111 0 111 or 0800 111 0 222, free of charge and around the clock).
§ 11 Books and shipping
(1) We deliver printed books within Germany. Shipping costs and delivery time are shown during the ordering process.
(2) The books remain our property until paid for in full.
(3) Please report obvious transport damage to the carrier as soon as possible and inform us. This does not affect your statutory rights.
§ 12 Digital products
(1) We provide e-books, PDFs and recordings via a download link or online access.
(2) To use them, you need a suitable device with an up-to-date browser or PDF reader. The rights of use under § 9 apply.
§ 13 Warranty
The statutory rights in respect of defects apply, and for digital products §§ 327 et seq. BGB.
§ 14 Liability
(1) We are liable without limitation for intent and gross negligence, for damage resulting from injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and to the extent of any guarantee assumed.
(2) In the event of a slightly negligent breach of an essential contractual obligation – an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely – our liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.
(3) These limitations of liability also apply in favour of our vicarious agents.
(4) You are yourself responsible for applying the content conveyed in your personal and professional life.
§ 15 Data protection
You can find out how we process your personal data in our privacy policy.
§ 16 Consumer dispute resolution
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
§ 17 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law applies only insofar as it does not deprive you of the protection afforded by mandatory provisions of the law of the state in which you have your habitual residence.
(2) If you are a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from the contract is Munich.
(3) Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
